1. Introduction

These Terms of Use ("Terms") govern your access to and use of LogicNotes (the "App"). LogicNotes is operated by CATALYST GROWTH SG PTE. LTD. ("we," "us," or "our").

        Acknowledgement: You acknowledge that these Terms are concluded between you and us only, and not with Apple, Inc. ("Apple"). We, not Apple, are solely responsible for the App and the content thereof.
    

2. Eligibility

You must be at least 18 years old to use LogicNotes. By using the App, you represent and warrant that you are not:

Located in a country subject to a U.S. Government embargo, or designated by the U.S. Government as a "terrorist supporting" country; and
Listed on any U.S. Government list of prohibited or restricted parties.

3. License Grant

We grant you a limited, non-exclusive, non-transferable, revocable license to use the App on Apple-branded products that you own or control as permitted by the Usage Rules set forth in the Apple Media Services Terms and Conditions.

4. Your Content and Recordings

4.1 Ownership

You retain ownership of your meeting recordings, transcripts, summaries, and synced CRM data ("User Content").

4.2 License to Process

You grant us a limited license to process User Content solely to provide the services (Transcription, AI summarization, CRM synchronization) and for service reliability.

4.3 Recording Consent & Biometrics

Consent: You represent that you have obtained all legally required consents from all participants before recording. You are solely responsible for compliance with "all-party consent" laws in relevant jurisdictions (e.g., California, Singapore, or Germany).
Biometrics: You acknowledge that the App uses voice-processing technology to distinguish between speakers. You warrant that you have obtained the necessary permissions to process the vocal characteristics of all recorded participants as required by applicable biometric privacy laws.

5. Third-Party Services

The App integrates with services like Deepgram, OpenAI, and HubSpot. Your use is subject to their respective terms. We are not responsible for third-party outages or data handling.

Google Data: Use of information received from Google APIs will adhere to the Google API Services User Data Policy, including Limited Use requirements.

6. Subscriptions and Payments

All payments are handled by Apple. Subscriptions auto-renew unless canceled 24 hours prior to the end of the period. Refunds are subject to Apple's sole discretion. LogicNotes does not store your credit card data.

7. Maintenance and Support

We are solely responsible for providing maintenance and support for the App. You acknowledge that Apple has no obligation whatsoever to furnish any maintenance and support services with respect to the App.

8. AI and Transcription Accuracy

8.1 Probabilistic Outputs

Transcriptions and AI summaries are automated and may contain inaccuracies or "hallucinations."

8.2 Non-Reliance

LogicNotes is a productivity tool, not a system of record. You agree to manually verify any critical "Action Items" or "Decisions" before taking action based on AI-generated content. AI outputs do not constitute legal, medical, or professional advice.

9. Warranty and Product Claims

9.1 Warranty

The App is provided "AS IS." In the event of any failure of the App to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price; to the maximum extent permitted by law, Apple will have no other warranty obligation whatsoever.

9.2 Claims

We, not Apple, are responsible for addressing any claims relating to the App, including:

Product liability claims;
Legal/regulatory non-conformance; and
Claims arising under consumer protection or privacy legislation.

10. Intellectual Property Rights

In the event of any third-party claim that the App or your possession and use of the App infringes a third party's intellectual property rights, we, and not Apple, will be solely responsible for the investigation, defense, settlement, and discharge of any such claim.

11. Termination

You may stop using the App at any time. Upon account deletion, access to cloud-stored content may be terminated immediately. We will purge associated data from our systems within 30 days.

12. Limitation of Liability

To the maximum extent permitted by law, our total cumulative liability shall not exceed the greater of:

(a) the amount you paid us in the 12 months preceding the claim; or
(b) SGD $100.

We are not liable for decisions made based on AI-generated outputs.

13. Indemnification

You agree to indemnify and hold harmless LogicNotes and its affiliates from claims arising out of your recording of meetings without consent, your misuse of AI outputs, or your violation of these Terms.

14. Third-Party Beneficiary

You acknowledge and agree that Apple, and Apple's subsidiaries, are third-party beneficiaries of these Terms, and that, upon your acceptance of these Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary.

15. Governing Law & Dispute Resolution

These Terms are governed by the laws of Singapore, without regard to its conflict of laws principles. Any dispute arising out of or in connection with these Terms shall be referred to and finally resolved by the courts of Singapore.
